By accessing or using the Insurance.Dental website, platform, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Insurance.Dental ("we," "us," or "our").
We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
Insurance.Dental provides dental reimbursement benchmarking data, fee schedule analytics, percentile distribution reports, and related informational tools for licensed dental professionals and practice administrators. The Service aggregates and presents claims-derived data to help users understand market-level reimbursement patterns.
The Service is an informational and analytical tool only. It does not constitute financial advice, legal counsel, insurance guidance, or a recommendation to take any specific action regarding fee schedules, payer contracts, or practice operations.
To use the Service, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a dental practice, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
Certain features of the Service require account registration. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate any account that we reasonably believe has been accessed without authorization or is being used in violation of these Terms.
Access to premium features of the Service requires a paid subscription. Subscription terms, pricing, and billing cycles will be presented to you at the time of purchase. All fees are stated in U.S. dollars unless otherwise specified.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal dental practice management purposes. You agree not to:
Our Data: All reimbursement benchmarking data, analytics, reports, percentile distributions, and other content provided through the Service ("Service Data") is proprietary to Insurance.Dental and is protected by applicable intellectual property laws. Service Data is derived from aggregated, de-identified claims information and does not contain individually identifiable patient or provider information.
Your Data: You retain ownership of any information, fee schedules, or data you submit to the Service ("User Data"). By submitting User Data, you grant us a limited license to process, store, and use such data solely for the purpose of providing the Service to you. We will not sell your User Data to third parties.
Accuracy: While we strive to ensure the accuracy and timeliness of Service Data, we do not warrant that any data is error-free, complete, or current. Service Data reflects aggregated market patterns and should not be relied upon as the sole basis for business decisions. You are responsible for independently verifying any information before acting upon it.
All rights, title, and interest in and to the Service — including but not limited to the software, algorithms, data compilations, visual design, trademarks, trade names, logos, and all other intellectual property — are and shall remain the exclusive property of Insurance.Dental. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without our prior written consent.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any Service Data, reports, or analytics. Use of the Service is at your sole risk.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSURANCE.DENTAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability for any claims arising under or related to these Terms or the Service shall not exceed the total amount you have paid to us in subscription fees during the twelve (12) months immediately preceding the claim.
You agree to indemnify, defend, and hold harmless Insurance.Dental and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of any third party.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination — including but not limited to Sections 7, 8, 9, 10, 11, and 14 — shall survive.
You may terminate your account at any time by contacting us or through your account settings. Termination does not relieve you of any obligation to pay outstanding fees.
The Service may contain links to or integrations with third-party websites, services, or content that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
You agree to waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration related to these Terms or the Service.
Insurance.Dental does not require, collect, store, or process Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA). The Service operates exclusively with aggregated, de-identified market data. You agree not to submit any PHI through the Service. If you inadvertently submit PHI, notify us immediately so that we can delete it.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Insurance.Dental regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
